1. Introduction
Welcome to Khlas Pay.
These Terms & Conditions (“Terms”) govern your access to and use of the Khlas Pay website, platform, payment infrastructure, APIs, and related services (“Services”). By accessing or using our Services, you agree to comply with and be legally bound by these Terms.
If you do not agree with these Terms, you should not access or use the Services.
Throughout these Terms, “Khlas Pay,” “we,” “our,” and “us” refer to Khlas Pay, a company operating from Morocco, together with its affiliated entities, partners, and service providers.
“Merchant,” “user,” “client,” and “you” refer to any business, organization, or individual using our Services.
2. About KhlasPay
Khlas Pay provides merchant payment infrastructure and payment processing solutions designed to support businesses operating locally and internationally.
Our Services may include:
Payment processing solutions
Open Banking integrations
QR code payment solutions
Merchant payment infrastructure
Business payment solutions through regulated partners
Payment routing and reconciliation tools
APIs and integrations
Transaction monitoring and reporting
Khlas Pay operates in partnership with regulated financial institutions and licensed payment providers, including infrastructure operating under the supervision of Bank Al-Maghrib and supported through licensed banking and financial partners such as Attijariwafa Bank.
Khlas Pay itself is not a bank. Certain payment and financial services are provided through regulated banks, licensed payment institutions, electronic money institutions, and financial infrastructure partners operating in Morocco and other jurisdictions.
3. Eligibility
To use our Services, you must:
Be at least 18 years old
Operate a legally registered business, where applicable
Have authority to bind your organization
Provide accurate and complete information
Comply with all applicable laws and regulations
Khlas Pay reserves the right to reject or terminate access to Services where required for legal, compliance, operational, or risk management purposes.
4. Merchant Responsibilities
Merchants using Khlas Pay agree to:
Use the Services only for lawful business activities
Maintain accurate business and account information
Ensure transactions are legitimate and authorized
Comply with anti-money laundering (AML) and fraud prevention requirements
Protect account credentials and system access
Notify Khlas Pay immediately of suspicious activity or unauthorized access
Merchants may not use Khlas Pay for:
Illegal activities
Fraudulent transactions
Unauthorized financial services
Restricted or prohibited industries under applicable laws or partner requirements
Activities that may harm Khlas Pay’s infrastructure, reputation, or operations
5. Payment Processing
Khlas Pay facilitates payment processing through banking infrastructure, payment technologies, and regulated financial partners.
Payment processing and settlement times may vary depending on:
Banking network availability
Financial institution participation
Compliance reviews
Technical interruptions
Regulatory requirements
Regional infrastructure limitations
Khlas Pay does not guarantee uninterrupted, real-time, or immediate processing in all circumstances.
Khlas Pay reserves the right to delay, suspend, review, or reject transactions where necessary for:
Fraud prevention
Security reviews
Compliance obligations
Technical maintenance
Regulatory or legal requests
6. Fees
Fees for Services may be outlined separately in merchant agreements, onboarding documentation, quotations, or pricing schedules.
Khlas Pay reserves the right to update pricing, processing fees, or service charges with reasonable notice, where permitted by applicable law.
Merchants are responsible for applicable taxes, duties, and governmental charges related to their use of the Services.
7. Intellectual Property
All content, branding, software, systems, APIs, designs, trademarks, logos, and materials associated with Khlas Pay remain the intellectual property of Khlas Pay or its licensors.
You may not:
Copy or reproduce platform materials
Reverse engineer our systems
Modify or distribute proprietary content
Use Khlas Pay branding without written authorization
8. Availability of Services
Khlas Pay strives to maintain reliable platform availability; however, uninterrupted access to Services is not guaranteed.
Temporary interruptions may occur due to:
System maintenance
Banking infrastructure downtime
Technical failures
Security incidents
Regulatory requirements
Third-party service disruptions
Khlas Pay may update, modify, suspend, or discontinue portions of the Services at any time.
9. Security
Khlas Pay implements commercially reasonable technical and organizational security measures designed to protect payment information, merchant data, and platform infrastructure.
However, no online platform or digital transmission can be guaranteed to be completely secure.
Merchants remain responsible for maintaining:
Secure login credentials
Internal cybersecurity controls
Authorized account access management
Secure integration environments
10. Compliance & Verification
Khlas Pay may conduct:
Know Your Business (KYB) checks
Identity verification
Compliance reviews
Transaction monitoring
Risk assessments
We may request additional documentation at any time to comply with legal, regulatory, banking, or partner obligations.
Failure to provide requested information may result in service suspension or termination.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Khlas Pay shall not be liable for:
Indirect or consequential damages
Lost profits or revenue
Business interruption
Data loss
Delayed settlements
Third-party banking or infrastructure failures
Unauthorized access caused by merchant negligence
Khlas Pay’s total liability relating to the Services shall not exceed the fees paid by the merchant to Khlas Pay during the preceding 12 months, unless otherwise required by law.
12. Indemnification
You agree to indemnify and hold harmless Khlas Pay, its affiliates, partners, officers, employees, contractors, and licensors from claims, liabilities, damages, losses, or expenses arising from:
Your misuse of the Services
Violation of these Terms
Fraudulent or unlawful activities
Violations of third-party rights
13. Termination
Khlas Pay may suspend or terminate access to Services immediately where:
Required by law or regulation
Fraud or suspicious activity is detected
Merchant activity creates unacceptable risk
These Terms are violated
Requested information is not provided
Merchants may discontinue use of the Services at any time, subject to contractual obligations.
14. Third-Party Services
Khlas Pay may rely on third-party providers, including:
Banks
Payment institutions
Cloud infrastructure providers
Compliance providers
Technology providers
Financial service partners
Khlas Pay is not responsible for interruptions or failures caused by third-party systems beyond our reasonable control.
15. Privacy
Your use of the Services is also governed by our Privacy Policy.
16. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws and regulations applicable in the Kingdom of Morocco, unless otherwise specified in a separate merchant agreement or required by applicable international regulations.
17. Changes to Terms
Khlas Pay reserves the right to update or modify these Terms at any time.
Updated versions become effective upon publication on the website, unless otherwise stated.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
